EduDesk — Terms of Service

1. Acceptance of Terms

By accessing or using EduDesk you agree to be bound by these Terms of Service. If you do not agree, do not use the service.

2. Description of Service

EduDesk is a tutoring session management platform that allows registered teachers to schedule, track, and manage sessions with their students. Teachers can create individual sessions or recurring series (weekly, bi-weekly, or monthly), manage their student roster, view their schedule through an interactive calendar, track exam results, and share study resources. Students may be granted access to a self-service portal where they can view sessions, track their academic progress, and download their own data. The service is provided by Certo e Claro, based in Portugal.

3. No Payment Processing

EduDesk does not process, handle, or intermediate any payments between teachers and students. All financial transactions — including session fees, invoicing, and cash handling — are exclusively between the teacher and the student. EduDesk bears no responsibility for any payment disputes or financial arrangements made outside the platform.

4. Fiscal Responsibility

EduDesk is a scheduling and session management tool only. Teachers are solely responsible for complying with all applicable tax, fiscal, and professional obligations arising from their tutoring activities. EduDesk and Certo e Claro bear no responsibility for any fiscal or regulatory obligations of the teacher.

5. Eligibility and Access

Access to EduDesk is by invitation only. Accounts are created by an administrator. There is no public self-registration. Teachers and administrators who hold primary accounts must be at least 18 years old. You must provide accurate information and keep your credentials secure. You are responsible for all activity carried out under your account, including ensuring that any student data you enter into the platform has a lawful basis. Students of any age may be granted access to the student portal; however, before granting portal access to a student under the age of 16, the teacher must ensure that written consent has been obtained from the student's parent or legal guardian in accordance with applicable data protection law.

6. User Obligations

You agree not to: use the service for any unlawful purpose; attempt to gain unauthorised access to any part of the system; introduce malicious code; misrepresent your identity; share your account credentials with any other person; or use automated tools, bots, or scripts to access the service without prior written consent. Violation of these obligations may result in immediate account termination.

7. Acceptable Use and Content Responsibility

By using EduDesk, you accept full and sole responsibility for any content you submit, upload, share, or link to within the platform — including session notes, study resources, exam materials, and file attachments. EduDesk and Certo e Claro do not monitor, moderate, or take any responsibility for user-generated content. You must not submit any content that is unlawful, harmful, offensive, defamatory, copyright-infringing, or otherwise objectionable. You must not use the platform to distribute spam, malware, or unauthorised commercial material. Neither EduDesk nor Certo e Claro will ever sell, analyse for commercial purposes, or share user data or content with third parties beyond what is strictly necessary to operate the service. If prohibited conduct is identified — at the sole discretion of Certo e Claro — we may issue a formal warning, temporarily restrict access to the account, or permanently terminate the account, without prior notice and without liability. The decision to act, and the severity of action, will be determined on a case-by-case basis depending on the nature and gravity of the violation.

8. Student Data Responsibility

By entering student information into EduDesk, you confirm that you have a lawful basis to process that data, and where students are minors, that you have obtained appropriate consent from their parent or guardian. You are solely responsible for the accuracy and lawfulness of any personal data you enter about third parties. When portal access is enabled for a student, their personal contact data is stored encrypted at rest.

9. Student Portal Access

Teachers may grant their students access to the EduDesk student portal. Through the portal, students can view their upcoming and past sessions, submit cancellation or new-session requests, track exam dates and results, manage study resources and learning goals, and download an export of their own data. Portal accounts are linked to specific student records and access may be revoked by the teacher or administrator at any time. Student contact data stored for portal use is encrypted at rest.

10. File Uploads and Storage

Students with portal access may upload exam-related files — PDFs and images — up to 10 MB per file, subject to a per-student storage quota. You are responsible for ensuring that any files uploaded do not infringe third-party rights and are lawful in nature. EduDesk reserves the right to remove files that violate these conditions without notice. Files associated with a student record are permanently deleted when that student is removed from the platform.

11. Data and Privacy

Your use of EduDesk is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the General Data Protection Regulation (GDPR).

12. Intellectual Property

The EduDesk software, design, and branding are owned by Certo e Claro. Content you create within the platform (session notes, student records) remains yours. You grant Certo e Claro a limited licence to store and display that content solely to operate the service.

13. Limitation of Liability

The service is provided "as is" without warranty of any kind. Certo e Claro is not liable for any loss of data or business arising from use of, or inability to use, the service — including loss caused by user-generated content, third-party outages, or force majeure events.

14. Service Availability

EduDesk is provided on a best-efforts basis. Certo e Claro does not guarantee uninterrupted, error-free, or continuous availability. The service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances outside our control, including infrastructure outages or force majeure events. We will endeavour to give advance notice of planned maintenance where possible. Certo e Claro shall not be liable for any loss or inconvenience arising from service interruptions.

15. Termination and Account Suspension

An administrator may deactivate or permanently delete your account at any time, including as a consequence of a breach of these Terms. You may request deletion of your account by contacting us. Upon termination, your access to the service will cease and your data will be handled in accordance with the Privacy Policy.

16. Governing Law

These Terms are governed by the laws of Portugal. Any disputes shall be subject to the exclusive jurisdiction of the Portuguese courts.

17. Changes to Terms

We may update these Terms from time to time. Continued use of the service after changes are posted constitutes acceptance of the revised Terms.
